Terms Of Use
AppCentri Terms of Use
Effective Date: October 10, 2026
Last Updated: October 10, 2026
These Terms of Use (“Terms”) govern access to and use of the AppCentri website at www.appcentri.com and the related online platform and services (the “Site” or “Service”) provided by AppCentri, LLC, a Nebraska limited liability company (“AppCentri,” “we,” “us,” or “our”).
By accessing or using the Site or Service, you agree to these Terms. If you do not agree, do not use the Site or Service.
1. What These Terms Cover
These Terms apply to:
- General visitors to the website.
- Individual account holders (students, parents, guardians, teachers, staff, committee members, and reviewers).
- Organizations that use the Service.
If you or your organization have signed a Master Services Agreement (“MSA”) with AppCentri (including Exhibit A – Fees and Payment and Exhibit B – Student Data Privacy Addendum), the MSA controls over these Terms on the licensed platform, fees, Education Records, student data, and the commercial relationship. These Terms continue to apply to general website use and to users who have not entered into an MSA.
Nothing in these Terms reduces the student-data protections in Exhibit B of the MSA or in a signed district student data privacy agreement.
For organizations under an MSA, tier evaluation and fee adjustments occur once per year before the next invoice. AppCentri does not monitor user counts mid-year to change fees. Non-applicant users are not charged separately.
2. License to Use the Site
Subject to these Terms, AppCentri grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for its intended purpose: exploring, applying for, and managing local scholarships and grants, or supporting those activities as a counselor, administrator, foundation staff member, parent, or reviewer.
You may not copy, modify, reverse engineer, decompile, or attempt to extract source code from the Service; use the Service for the benefit of an unaffiliated third party without AppCentri’s prior written consent; remove any copyright, trademark, or proprietary notices; or sublicense, resell, or commercially exploit the Service except as expressly permitted under a signed MSA.
Rights not expressly granted are reserved by AppCentri. Feedback you provide may be used by AppCentri. Improvements to the platform remain AppCentri’s property. Nothing in these Terms transfers title to the platform.
3. Accounts and Security
Certain features require an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify AppCentri promptly of any unauthorized use. AppCentri will not issue or store shared passwords. Organizational administrators control invitations and access resets for their users.
4. User Content
You retain ownership of materials, scholarship criteria, donor materials, essays, documents, and other content you submit (“User Content”). You grant AppCentri a limited, non-exclusive license to host, display, process, and transmit User Content solely to provide the Service. AppCentri does not claim ownership of User Content or of Education Records.
5. Student Data and Education Records
Education Records and Student Data belong only to the school or district that maintains them. AppCentri acts as a school official with a legitimate educational interest under the Family Educational Rights and Privacy Act (FERPA) solely to deliver the contracted scholarship and grant services.
AppCentri treats Education Records in accordance with FERPA, the Children’s Online Privacy Protection Act (COPPA) where applicable, and the student-privacy law of the state where the school is located. If that law is stricter than these Terms or Exhibit B of an MSA, the stricter law applies.
We do not sell, rent, or trade Education Records, use them for advertising to students or parents, or build non-educational profiles. We use appropriate administrative, technical, and physical safeguards, including access controls and encryption in transit.
We will notify the relevant organization without undue delay of any breach of security involving Education Records, in time for that organization to meet its notice obligations under applicable law.
Upon termination of an MSA or applicable relationship, Education Records are returned or securely destroyed within 90 days unless renewal is reasonably expected or retention is required by law, consistent with Exhibit B. This duty is not limited by any liability cap.
AppCentri may use subprocessors for hosting, email, and file conversion if they are bound to terms no weaker than Exhibit B. We remain responsible for them and will provide the current list on request.
If a district requires its own student data privacy agreement, that agreement controls on Education Records. A breach of student-data obligations is a material breach.
We do not knowingly collect personal information from children under 13 outside of a school-authorized context consistent with COPPA and applicable law. If you believe we have done so, contact us and we will take appropriate steps.
6. Acceptable Use
You agree not to violate any law or third-party right; upload content that is unlawful, defamatory, or infringing; attempt to gain unauthorized access to accounts, systems, or data; use automated means to scrape or overload the Service without permission; or misrepresent your identity or affiliation.
AppCentri may suspend or terminate access for violations.
7. Third-Party Links and Tools
The Service may contain links to third-party websites or tools (including Google Drive, Google Forms, or other integrations). These are provided for convenience. AppCentri is not responsible for the content, privacy practices, or availability of third-party sites or services.
8. Ownership
AppCentri owns the platform, documentation, and its trademarks. You retain ownership of your scholarship criteria, donor materials, and User Content as described above.
9. Warranties and Disclaimers
The Service is provided on an “as available” basis. Except for the specific commitments in a signed MSA and Exhibit B, AppCentri disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
We do not warrant that the Service will be uninterrupted, error-free, or that it has been built to a specification the user or Licensee did not write into an applicable Agreement. Some jurisdictions do not allow certain warranty limitations; those limitations apply only to the extent permitted by law.
10. Limitation of Liability
Except for fraud, misappropriation of intellectual property, or the student-data duties in Exhibit B of an MSA (or an equivalent signed privacy agreement), neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits.
Except for those same items, each party’s total liability is limited to the fees paid or payable in the twelve months before the claim, or $25,000 if no fee was payable. These limits apply only as far as the law allows. They do not limit the duty to return or delete Education Records.
11. Indemnity
You will defend and indemnify AppCentri against third-party claims arising from your User Content, scholarship content, eligibility rules, instructions, or Education Records you were not authorized to provide, consistent with the notice and control provisions in an applicable MSA.
AppCentri will defend Licensees under an MSA against third-party claims that the platform, used as licensed, infringes a United States copyright, subject to the limitations and remedies in the MSA.
12. Term and Termination
These Terms remain in effect while you use the Service. AppCentri may suspend or terminate access for material breach that is not cured within thirty days after notice, or immediately for serious violations or legal requirements. Termination does not affect accrued rights or obligations, including data return or deletion duties under Exhibit B.
Organizational licenses under an MSA follow the term and termination provisions of that MSA (typically one-year terms with 30-day non-renewal notice).
13. Governing Law and Disputes
Nebraska law governs these Terms and the license, fees, and intellectual property, except patent and copyright claims under the United States Code. The student-privacy law of the school’s state governs Education Records even if it differs from Nebraska law.
Disputes will first go to mediation. If unresolved, they will be resolved by binding arbitration under the American Arbitration Association rules. Either party may still seek an injunction to protect intellectual property or Education Records. The parties waive any right to participate in a class action or class-wide arbitration to the extent permitted by law.
No claim may be brought more than two years after the claiming party knew or should have known of it, except a claim to enforce data deletion duties.
14. Copyright and DMCA
If you believe content on the Service infringes your copyright, please send a notice to the contact information below that includes: (a) your contact information, (b) a description of the copyrighted work, (c) the location of the allegedly infringing material, (d) a statement of good-faith belief that the use is not authorized, and (e) a statement under penalty of perjury that the information is accurate and you are authorized to act. AppCentri will respond in accordance with the Digital Millennium Copyright Act.
15. Force Majeure
Neither party is liable for delay or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, acts of government, internet or hosting failures, or labor disputes, provided the affected party gives prompt notice and uses reasonable efforts to mitigate.
16. Changes to These Terms
AppCentri may update these Terms. Material changes will be posted on the Site. Continued use after posting constitutes acceptance. Fee schedule changes for MSA customers follow the annual notice process in Exhibit A of the MSA and cannot reduce student-data protections.
